Business Customers

Thank you for choosing KSDESIGN. We value our business relationships and appreciate the opportunity to work with you.

These Terms and Conditions apply to all goods and services supplied by KSDESIGN to business customers, including companies, schools, clubs, organisations and other approved account holders.

1. Quotations and Orders

1.1 Quotations are valid for 30 days from the date of issue, unless otherwise stated.

1.2 Quotations are based on the information and specifications provided by the customer. Changes to the design, materials, quantities, sizes or specifications may result in additional costs.

1.3 Work will commence once the quotation has been accepted and any required deposit has been received.

1.4 Any additional work requested after a quotation has been accepted will be quoted separately or charged at the agreed rates.

1.5 KSDESIGN reserves the right to review a quotation if there are significant changes in supplier costs, material availability or project requirements before the order is confirmed.

2. Artwork and Proof Approval

2.1 Where applicable, artwork or design proofs will be provided for approval before production begins.

2.2 Customers are responsible for checking all details carefully, including spelling, wording, measurements, colours, layouts and other specifications.

2.3 Once artwork has been approved, any subsequent changes may incur additional design, production or material costs.

2.4 KSDESIGN cannot be held responsible for errors or omissions that were present in artwork approved by the customer.

2.5 Delays in receiving artwork approval or required information may affect production and delivery timeframes.

3. Payment Terms

3.1 Payment is due within 14 days of the invoice date, unless otherwise agreed in writing.

3.2 Invoices will be issued electronically to the email address provided by the customer.

3.3 We understand that some businesses process payments on the 20th or at the end of the month. Alternative payment arrangements can be agreed with KSDESIGN.

3.4 A deposit may be required for larger projects, custom-made products or orders involving materials purchased specifically for the customer. Any deposit requirements will be stated in the quotation.

3.5 All prices are in New Zealand dollars and exclude GST unless otherwise stated.

3.6 If an account becomes overdue, KSDESIGN reserves the right to pause further work, withhold further deliveries or decline additional orders until the outstanding balance has been addressed.

3.7 KSDESIGN may charge reasonable interest and recovery costs on overdue accounts where permitted by law and where these charges have been agreed with the customer.

4. Production and Delivery

4.1 Estimated production and delivery dates are provided as a guide only. KSDESIGN will make reasonable efforts to meet agreed timeframes but cannot guarantee dates where delays are outside our control.

4.2 Production may be delayed due to supplier availability, material shortages, courier delays, equipment breakdowns or other unforeseen circumstances.

4.3 Customers should check all supplied goods upon collection or delivery and notify KSDESIGN of any apparent damage, shortages or production issues as soon as reasonably possible.

5. Colours and Materials

5.1 We make every effort to achieve accurate colours and finishes. However, slight variations may occur between screen displays, printed proofs, different materials and finished products.

5.2 Colours may vary between separate production runs due to differences in materials, inks and equipment.

5.3 Natural variations in materials, including fabrics, wood, metal and other surfaces, are not necessarily considered defects.

6. Customer-Supplied Artwork and Materials

6.1 Customers are responsible for ensuring that any artwork, logos, images, fonts or other materials supplied to KSDESIGN are suitable for the intended purpose and that they have the necessary rights or permissions for their use.

6.2 Customers are responsible for the accuracy and quality of supplied artwork and files.

6.3 KSDESIGN is not responsible for poor print quality resulting from low-resolution, unsuitable or incorrectly supplied artwork.

7. Intellectual Property

7.1 Unless otherwise agreed in writing, KSDESIGN retains ownership of its original designs, concepts, artwork, working files, templates and other creative materials.

7.2 Once full payment has been received, customers may use the final approved artwork for the purpose for which it was created.

7.3 Original working files, editable design files, fonts and production templates are not included unless specifically agreed.

8. Installation and Site Work

8.1 Where installation is included in the quotation, customers are responsible for ensuring the installation site is accessible, safe and ready for work.

8.2 Customers must advise KSDESIGN of any known site restrictions, access requirements, underground or concealed services, wall construction issues or other relevant conditions before installation.

8.3 Additional work arising from unexpected site conditions, unsuitable surfaces or access difficulties may incur additional charges.

8.4 KSDESIGN will take reasonable care when carrying out installation work but cannot be held responsible for pre-existing defects or structural weaknesses in the installation surface.

9. Cancellations and Changes

9.1 If an order is cancelled after work has commenced, the customer may be charged for work already completed, materials purchased, services engaged and other reasonable costs incurred.

9.2 Custom-made products and specially ordered materials may not be eligible for cancellation or refund once production or ordering has commenced, except where required by law.

9.3 Changes to confirmed orders must be agreed with KSDESIGN and may affect the original quotation, production schedule and delivery date.

10. Ownership and Risk

10.1 Ownership of goods supplied by KSDESIGN remains with KSDESIGN until payment has been received in full, to the extent permitted by law.

10.2 Risk in the goods passes to the customer upon collection or delivery, subject to applicable New Zealand law.

11. Liability and Business Customer Rights

11.1 KSDESIGN will carry out its work with reasonable care and skill.

11.2 Neither party will be liable to the other for indirect or consequential losses, to the extent permitted by law.

11.3 KSDESIGN is not responsible for damage or deterioration caused by misuse, improper handling, neglect, unauthorised alterations or fair wear and tear.

11.4 Where the customer is acquiring goods or services for business purposes, the parties may agree in writing to contract out of the Consumer Guarantees Act 1993, but only where the requirements of section 43 of that Act are satisfied, including that the goods or services are acquired for business purposes and contracting out is fair and reasonable.

11.5 Nothing in these Terms and Conditions excludes any rights or remedies that cannot legally be excluded under New Zealand law.

12. Confidentiality

12.1 Both parties agree to take reasonable steps to protect confidential business information received from the other party.

12.2 Confidential information will not be disclosed to third parties without permission, except where required by law or reasonably necessary to carry out the agreed work.

13. General

13.1 Any changes to these Terms and Conditions must be agreed in writing.

13.2 If any provision is found to be invalid or unenforceable, the remaining provisions will continue to apply.

13.3 These Terms and Conditions are governed by the laws of New Zealand.

Thank you for your continued support. We value your business and look forward to working with you!
